Terms of Service

These Terms of Service ("Terms") govern your use of Digital Passport ("the Service", "we", "us"), a software-as-a-service application that generates Digital Product Passports from Akeneo PIM data. By creating an account or using the Service, you agree to these Terms.
1. Definitions
- "Customer", "you" - the individual or organisation that creates an account and uses the Service.
- "Passport" - a public-facing Digital Product Passport page generated by the Service from your PIM data.
- "Configuration" - a set of rules you create that define how a Passport is generated (attributes, branding, channel, locale).
- "Plan" - the subscription tier (Starter, Professional, or Enterprise) that determines your feature access and limits.
2. Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal authority to bind yourself or your organisation to these Terms. You must have access to an Akeneo PIM instance to use the Service.
2.2 Account Security
- You are responsible for maintaining the security of your account credentials, including your password and any two-factor authentication (MFA) backup codes.
- You must notify us immediately at [email protected] if you believe your account has been compromised.
- We strongly recommend enabling two-factor authentication in your account settings.
2.3 Email Verification
You must verify your email address before accessing the Service. We use your email for account recovery, billing notifications, and security alerts.
3. Service Description
3.1 What We Provide
Digital Passport connects to your Akeneo PIM via its REST API to:
- Generate mobile-friendly Digital Product Passport pages from your product data.
- Generate QR codes that link to Passport pages (individually or in bulk).
- Provide embeddable widgets and API endpoints for integration into your website or systems.
- Track EU regulation compliance for product categories (batteries, textiles, electronics, etc.).
- Provide an audit trail of changes to your Passport configurations.
3.2 Data Access
The Service accesses your Akeneo PIM using API credentials that you provide. We request only the permissions necessary to read product data, catalog structure, channels, and locales. We do not write to or modify your PIM data.
3.3 Public Passport Pages
Passport pages are publicly accessible via URL or QR code. You are solely responsible for ensuring that the product data displayed on Passports is accurate, lawful, and does not infringe third-party rights. Public Passport pages do not use cookies, tracking scripts, or analytics.
4. Plans, Billing & Payments
4.1 Free Plan (Starter)
The Starter plan is free and includes limited features: 1 Passport configuration, public access tier only, 30-day audit trail, and no access to bulk generation, JSON-LD, GS1 Digital Link, PDF export, or API access.
4.2 Paid Plans
Paid plans (Professional and Enterprise) are billed monthly via Stripe. Prices are displayed on the pricing page and in the billing section of your account.
4.3 Payment Processing
Payments are processed by Stripe. We do not store your credit card details. By subscribing to a paid plan, you also agree to Stripe's Terms of Service.
4.4 Plan Changes
- Upgrades take effect immediately. You are charged the pro-rated difference for the remaining billing period.
- Downgrades take effect immediately. You receive a pro-rated credit for the unused portion of your current plan.
- When you downgrade, features and configurations that exceed the new plan's limits will be deactivated. Deactivated Passport configurations are not deleted but their public links will return a 404 error until you upgrade or delete excess configurations.
4.5 Cancellation
- You may cancel your subscription at any time from the billing page or Stripe Customer Portal.
- Cancellation typically takes effect at the end of your current billing period. You retain access to paid features until then.
- After cancellation, your account reverts to the free Starter plan. Excess configurations are deactivated as described above.
- We do not offer refunds for partial billing periods, except where required by law.
4.6 Failed Payments
If a payment fails, we provide a 7-day grace period during which your paid features remain active. If payment is not resolved within this period, your account reverts to the Starter plan. We will notify you by email when a payment fails.
5. Your Responsibilities
- You are responsible for the accuracy and legality of all product data displayed on Passports.
- You must ensure you have the right to display any logos, images, or branding you configure.
- You must not use the Service to display misleading, fraudulent, or unlawful information.
- You must not attempt to access other customers' data, reverse-engineer the Service, or use the API in a way that degrades performance for other users.
- You are responsible for keeping your Akeneo PIM API credentials secure. We encrypt them at rest but cannot prevent misuse if they are shared.
6. Intellectual Property
6.1 Our IP
The Service, including its source code, design, branding, and documentation, is owned by us. These Terms do not grant you any ownership rights in the Service.
6.2 Your Data
You retain all rights to your product data, configurations, and branding. We do not claim any ownership over your content. We access your data solely to provide the Service.
7. Data Handling & Privacy
Your data is handled in accordance with our Privacy Policy. Key points:
- API credentials and sensitive data are encrypted at rest using AES-256 encryption.
- Product data is cached temporarily (configurable TTL) and not stored permanently.
- We do not sell, share, or use your data for any purpose other than providing the Service.
- You may delete your account and all associated data at any time from Settings.
8. Service Availability
- We aim for high availability but do not guarantee uninterrupted service.
- We may perform maintenance with reasonable notice where possible.
- Passport pages are served with CDN caching and remain available during brief PIM outages.
- We are not responsible for downtime caused by your Akeneo PIM, your hosting provider, Stripe, or other third-party services.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranty of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- We are not liable for any damages arising from inaccurate product data, regulatory non-compliance, service interruptions, data loss, or third-party actions.
- Our total aggregate liability for any claims arising from these Terms or the Service is limited to the fees you have paid to us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Account Termination
11.1 By You
You may delete your account at any time from the Settings page. Account deletion is permanent and irreversible. All data - including Passport configurations, audit logs, encrypted credentials, and Stripe customer records - is permanently deleted. Active subscriptions must be cancelled before account deletion.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms.
- Your use of the Service poses a security risk to other customers.
- Your account has been inactive for more than 12 months on the free plan.
- We are required to do so by law.
Where possible, we will provide notice before termination and allow you to export your data.
12. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with the changes, you may cancel your subscription and delete your account before the new terms take effect.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
